These Terms of Service (the “Terms”) govern your access to and use of the Metroblox website, Web and mobile applications, APIs, products, and services (collectively, the “Services”), including the Ride Ecosystem, Ride USD, Universal Ride Tokens (URT), Branded Ride Tokens (BRT), Ride NFTs, Ride Wallet, RideDEX, and related features.

By accessing or using the Services in any way, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use or access the Services.

These Terms incorporate by reference the Metroblox Privacy Policy, which explains how we collect, use, share, and protect your personal information.

1. Eligibility and Accounts

1.1 Eligibility.
The Services are intended for use only by individuals and organizations located in the United States. By creating an account or using Ride Wallet, Ride USD, URT, or any Ride Ecosystem services, you represent and warrant that you are physically located in the United States and are not a resident or citizen of any restricted or sanctioned jurisdiction. This includes jurisdictions subject to U.S. economic sanctions administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC). We may use IP address, device location, identity verification, and compliance screening to enforce geographic restrictions.

You must be at least 18 years old to create, control, or use a Ride Wallet that holds Ride USD, Universal Ride Tokens (URT), or any digital assets with monetary value. Minors under 18 may access transportation services and Ride enabled passes only through a parent, legal guardian, school, employer, or sponsoring organization that controls the associated wallet.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1.2 Accounts.
Some Services require an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

1.3 Third-Party Accounts.
You may be able to sign in using third-party credentials (e.g., Web3 wallets, social sign-in). By doing so, you authorize us to access certain information from that third-party account.

2. Services and Use

2.1 Provision of Services.
Metroblox may change, suspend, or discontinue all or any part of the Services at any time without notice. Your access and use of the Services are subject to all applicable laws, rules, and regulations.

2.2 Use Restrictions.
You agree not to use the Services to:

Violate any law or regulation;
Impersonate another person or entity;
Attempt to gain unauthorized access to the Services;
Upload or distribute harmful code or material;
Reverse engineer or attempt to derive source code; or
Use the Services for purposes other than as intended.

We reserve the right to block, suspend, or terminate accounts that violate these restrictions.

3. Blockchain and Digital Assets

3.1 Nature of Blockchain Services.
Certain Services rely on public and/or permissioned blockchains. Transactions involving Ride USD, URT, NFT passes, or other digital assets may be publicly visible and immutable. The Services do not guarantee confidentiality or anonymity on public blockchains.

3.2 Wallets and Custody.
Ride Wallet and related wallets may hold digital assets on your behalf, as described in the Privacy Policy. You are responsible for securely managing your wallet credentials and private keys. Metroblox does not guarantee the recovery of any digital assets in the event of loss, theft, device failure, or user error.

3.3 No Financial Advice.
Information provided through the Services is for informational purposes only and does not constitute financial, tax, legal, or investment advice.

3.4 Digital Asset Risk and Regulatory Status
Ride USD, Universal Ride Tokens (URT), Branded Ride Tokens (BRT), and Ride NFTs are digital assets subject to technological, regulatory, and market risks. Metroblox does not guarantee that any digital asset will retain a particular value, remain available, or be redeemable at all times. Regulatory requirements may restrict or suspend functionality in certain circumstances.

4. Fees and Payments

4.1 Fees.
Certain Services may be subject to fees. All fees are described in separate agreements or posted within the Services. Fees are non-refundable except as required by applicable law or expressly stated.

4.2 Taxes.
You are responsible for any taxes associated with your use of the Services.

5. Intellectual Property

All rights, title, and interest in the Services, including text, graphics, logos, software, and other content (“Content”), are owned by Metroblox or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal purposes. You may not copy, modify, distribute, sell, or create derivative works from the Services or Content except as expressly authorized by Metroblox.

6. User Content

You are responsible for any content you upload, submit, post, or otherwise make available through the Services (“User Content”). You represent and warrant that you own or have all rights necessary to use any User Content you submit and that it does not violate any rights of third parties. Metroblox has no obligation to monitor User Content, but we reserve the right to remove or disable access to any User Content at our discretion.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Metroblox does not guarantee that the Services will be uninterrupted, error-free, or secure, or that digital assets will retain any particular value.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METROBLOX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT AS SPECIFICALLY REQUIRED BY LAW, METROBLOX’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO METROBLOX IN THE TWELVE-MONTH PERIOD PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Metroblox and its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, violation of these Terms, or infringement of any rights of a third party.

10. Termination

Metroblox may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your rights to access the Services will immediately cease.

Sections 5 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), and 9 (Indemnification) will survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the exclusive jurisdiction and venue of such courts.

12. Changes to Terms

Metroblox may revise these Terms at any time. Notice of changes will be posted on our website or provided by other means. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
